今天我給大家講一個(gè)我親生經(jīng)歷的案例,希望大家積極討論,并從中得到一些東西.
（1）我公司今年4月決定對(duì)外進(jìn)口1040MT ABS-750化工原料,價(jià)格USD1458600.00.因?yàn)?月份國(guó)際石油行情上漲,化工原料也比較俏.和賣(mài)方聯(lián)系過(guò)程中,對(duì)方要求我方立即開(kāi)證.因我們是國(guó)內(nèi)非常大的一國(guó)企,在支付款項(xiàng)上沒(méi)有任何問(wèn)題,對(duì)方提出不用簽合同,只要我們開(kāi)出L/C即可.當(dāng)時(shí)我還是堅(jiān)持要一個(gè)合同,對(duì)方就FAX 過(guò)來(lái)一個(gè)他們已簽子蓋章的合同,合同非常簡(jiǎn)單,主要條款如下:
1:GOODS&QUANTITY: ABS-750&TOTAL QUANTITY:1020MT(+/-5%)
2:UNIT PRICE:USD1430/MT CIF SHANGHAI.CHINA
TOTAL AMOUNT:USD1,458,600.00(+/-5%)
3:PACKING: MAKER’S STANDARD PARKING STUFFED IN 20’/40’CONTAINERS
4:ORIGIN:IRAN
5:PAYMENT:BY AN IRREVOCABLE L/C 90DAYS FROM B/L DATE IN FAVOR OF SELLER
Buyer shall open the L/C on or before Apr 07,2005
The contract shall be effective just in case that be returned to the seller by fax with Buyer’s Counter sign until ARP 07,2005
6:INSURANCE:to be covered by seller
7:SHIPMENT:510MT within APR.2005
510MT within MAY.2005
8:shipping marks:maker’s standard marking
9:port of loading:any iran port
10:port of discharge: shanghaichina
11:term of shipment:date of bill of lading shall be accepted as a conclusive date of shipment,partial shipment allowed.transshipment allowed.
.........其它就是不可抗力,仲裁地(在中國(guó))等等,因?yàn)楹秃髞?lái)的分析聯(lián)系不大,我就不一一列出了.拿到對(duì)方傳來(lái)的合同后,我立即安排了開(kāi)證.因?yàn)楦杏X(jué)對(duì)方對(duì)合同不在意,只要L/C即可.當(dāng)我們?cè)诤贤虾炞稚w章后,我沒(méi)有回傳給對(duì)方,對(duì)方也沒(méi)有提出異議.
