根據(jù)《中華人民共和國合同法》的規(guī)定，合同雙方就乙方向甲方提供一次性中心機(jī)房設(shè)備搬遷服務(wù)事宜，經(jīng)協(xié)商達(dá)成一致，確立本合同，以明確雙方的責(zé)任、權(quán)利及義務(wù)，確保合同雙方共同執(zhí)行。
moving services agreement this moving services agreement (the "agreement") is entered into as of the日期 day of 月份, 2006, between 甲方名稱 with its principal place of business at 甲方地址 (hereinafter referred to as the “shipper＂) and 乙方名稱 with its principal place of business at 乙方地址(hereinafter referred to as the"carrier").
recitals the shipper wishes to have its equipment in the central terminal moved from the current address to 新地址and the carrier is in the business of moving services and assures the shipper that it has the facilities, personnel, and technical expertise necessary to carry out the single full-service move. in consideration of the mutual promises, covenants, and agreements contained herein, both the parties reach the agreement as follows, subject to the contract laws of people＇s republic of china. hence, the responsibilities, rights, and obligations of each party are specified with the view to ensuring that both parties will honorably put the agreement into execution.
[免責(zé)條例] （1）針對甲方需搬遷的設(shè)備，乙方只負(fù)責(zé)硬件設(shè)備搬遷不負(fù)責(zé)數(shù)據(jù)和軟件安全。 （2）對于搬遷的設(shè)備，乙方如果需對設(shè)備進(jìn)行拆裝，以后因拆裝引起的保修問題由甲方負(fù)責(zé)。
exemptions 1. in performing the services stipulated in the agreement, the carrier shall be responsible for moving the shipper＇s hardware only, but shall not in any way be held liable for the safety or intactness of the database and software concerned. 2. also, the carrier shall uninstall and install the equipment (as defined below), but any problem arising thereof in connection with maintenace and repair of the equipment shall be handled by the shipper only.

甲乙雙方在搬遷完三個工作日內(nèi)：乙方根據(jù)《搬遷驗(yàn)機(jī)單》統(tǒng)計此次搬遷設(shè)備所產(chǎn)生的費(fèi)用，將《費(fèi)用清單》以書面形式交付甲方，甲方核實(shí)無誤后簽字確認(rèn)，此《費(fèi)用清單》原件甲乙雙方各持一份（《費(fèi)用清單》見附件b）。 注：因本合同所產(chǎn)生搬遷設(shè)備數(shù)量無法在搬遷前確認(rèn)及統(tǒng)計，所以具體費(fèi)用以《費(fèi)用清單》為準(zhǔn)。
within three days after the services agreed on are completed, the carrier is to add up the total cost of the services on the basis of the delivery receipt duly signed by the shipper and then present the detailed bill in writing to the shipper. after verifying the bill, the shipper shall sign on it. after that, each party shall be given one copy of the signed bill (see attachment b). note: since the workload involved with the agreement cannot be precisely estimated before the move, the actual expenses shall depend on nothing other than the final detailed bill.

preparations on the part of the shipper the shipper shall make the preparations set forth below: 1. reproduce all the digital files in adequate numbers of copies to make certain that the database is in secure condition. 2. select more than one transportation route and provide it for the carrier at least five days prior to the move. 3. inspect and measure the temperature, humidity, and power supply (with ground connection properly made) in the new terminal to ensure that they are up to the requirements. 4. secure all the entrance and exit permits and go through all the necessary procedures in advance to facilitate the move. 5. designate a coordinator to work with the counterpart appointed by the carrier. 6. provide the map and the layout of the new terminal for the carrier at least five days prior to the move. 7. allocate a temporary storage room suitable for the equipment in transit both at origin and at destination.

(b). disassembling hp server ＆ cabinet 1. both the shipper and the carrier shall inspect and test the server and its accessories simultaneously and both parties shall sign on the inventory list (see attachment a) after the satisfactory inspection. 2. the shipper is to terminate all the software employed on the server. 3. the employee of the carrier is to turn off the power supply. 4. each employee of the carrier shall put on an antistatic bracelet before work. 5. the carrier shall now start to attach a color-coded label to the cabinet and its corresponding server in an organized way. 6. the cables, disks, and power supply of each server are marked with identical color-coded labels respectively. 7. the cables of the server are taken away. 8. the server is separated from the cabinet and its disks are properly labeled if taken out. 9. the server is securely packed and its isolated disks are wrapped in shock-absorbing materials. 10. the server together with its accessories is loaded in the vehicle.

(b). disassembling hp server ＆ cabinet 1. both the shipper and the carrier shall inspect and test the server and its accessories simultaneously and both parties shall sign on the inventory list (see attachment a) after the satisfactory inspection. 2. the shipper is to terminate all the software employed on the server. 3. the employee of the carrier is to turn off the power supply. 4. each employee of the carrier shall put on an antistatic bracelet before work. 5. the carrier shall now start to attach a color-coded label to the cabinet and its corresponding server in an organized way. 6. the cables, disks, and power supply of each server are marked with identical color-coded labels respectively. 7. the cables of the server are taken away. 8. the server is separated from the cabinet and its disks are properly labeled if taken out. 9. the server together with its hard disks is securely packed in shock-absorbing materials in accordance with the recommendation made by the emc customer service department. 10. the server together with its accessories is loaded in the vehicle.
[惠普(hp) 小型機(jī)，磁盤陣列柜 搬遷細(xì)則] 一 乙方搬遷前準(zhǔn)備 1.熟知甲方提供的運(yùn)輸線路； 2.安排好搬遷人員分工； 3.準(zhǔn)備所有搬遷所需工具，車輛及相關(guān)資料； 4.經(jīng)甲方同意提前三天到新機(jī)房熟悉甲方提供的設(shè)備擺放圖； 5.與小型機(jī)工作人員配合完成拆卸前準(zhǔn)備。
moving instructions on hp small machine & disk array cabinet (a). the carrier shall make the following preparations beforehand: 1. be fully familiar with the transportation route or routes chosen by the shipper. 2. divide the workload among its employees. 3. get ready the vehicles, relevant documents and all the tools needed. 4. with the shipper＇s approval, inspect the new terminal and get familiar with its layout three days prior to the move. 5. team up with the working staff of the shipper in charge of the said device to render it ready to be disassembled.
二 拆卸 1.甲方與乙方同時檢測設(shè)備，檢測完后雙方在驗(yàn)機(jī)單上簽字（《搬遷驗(yàn)機(jī)表》見附件 a）； 2.由甲方關(guān)閉搬遷設(shè)備軟件程序； 3.拆卸前每位乙方工作人員佩戴防靜電手環(huán)； 4.以甲方現(xiàn)在每個機(jī)柜為一套設(shè)備單元進(jìn)行統(tǒng)一標(biāo)識； 5.每臺小型機(jī)，磁盤陣列柜對應(yīng)的聯(lián)線貼上對應(yīng)標(biāo)簽； 6.斷開所有聯(lián)線； 7.對設(shè)備進(jìn)行減震包裝； 8.搬運(yùn)上車。

[ups搬遷細(xì)則 ] 一 乙方搬遷前準(zhǔn)備 1.熟知甲方提供的運(yùn)輸線路； 2.安排好搬遷人員分工； 3.準(zhǔn)備所有搬遷所需工具，車輛及相關(guān)資料； 4.經(jīng)甲方同意提前三天到新機(jī)房熟悉甲方提供的設(shè)備擺放圖； 5.與ups廠商相關(guān)工作人員配合完成拆裝前準(zhǔn)備。

[設(shè)備運(yùn)輸] 1.按甲方提供的運(yùn)輸路線圖運(yùn)輸； 2.每趟運(yùn)輸車上乙方配備2~4位工作人員確保運(yùn)輸途中安全（建議甲方提供一人協(xié)助）； 3.到達(dá)目的地，設(shè)備搬進(jìn)新機(jī)房； 4.搬運(yùn)過程輕拿輕放。
transporting the equipment 1. the transportation route designated by the shippers hall be followed to the letter. 2. for each vehicle engaged in the service, the carrier shall deploy two to four of its employees on it to ensure the safe and smooth transit; meanwhile, it is recommended that the shipper should dispatch one employee to work with those of the carrier for the same purpose. 3. on arriving at the destination, the equipment shall be moved into the new terminal. 4. all the equipment mentioned herein shall be handled in a most prudent way throughout the service.
[設(shè)備安裝調(diào)試] 1. 搬運(yùn)到位后首先清點(diǎn)設(shè)備； 2. 先將 ups安裝調(diào)試正常； 3. 逐一將機(jī)柜安裝到位； 4. 服務(wù)器，小型機(jī)，交換機(jī)等對應(yīng)上架； 5. 根據(jù)標(biāo)注對應(yīng)聯(lián)接各機(jī)柜內(nèi)部線路； 6. 乙方現(xiàn)場監(jiān)控人員再對所有設(shè)備進(jìn)行加電前最后一次全面檢查； 7. 甲乙雙方工作人員同時在場，分別對設(shè)備加電測試并簽驗(yàn)機(jī)單； 8. 將《搬遷驗(yàn)機(jī)單》復(fù)印件留給甲方，乙方保留原件。
installation and alignment of equipment 1. as soon as a device is moved to its appointed position, both parties shall make sure that there is no damage or loss caused to the device. 2. after that, the ups main frame shall be installed first and aligned to work well. 3. then the corresponding cabinet shall be put in its place one after the other. 4. the server, small machine, and switchboard shall be put in place successively. 5. in compliance with the standard directions, the inner wiring in each cabinet shall be correctly finished. 6. the on-the-spot director of the carrier shall make a thorough inspection of all the systems before sending the electric current through them. 7. the authorized representatives on behalf of the shipper and the carrier respectively shall be present on the site at the same time, take turns sending the electric current through all the systems to be assured of their proper functions, and then sign the inventory list. 8. the copy of the inventory list shall be given to the shipper while the original to the carrier.
[搬遷結(jié)束] 搬遷結(jié)束后十五個工作日內(nèi)，乙方有義務(wù)根據(jù)甲方要求到現(xiàn)場提供技術(shù)服務(wù)； 技術(shù)服務(wù)不包括： 1.因設(shè)備正常使用以外的原因，如疏忽、不當(dāng)使用（如帶電插拔等），引起的問題 ； 2.因人力不可抗因素而因素引起的問題如自然災(zāi)害，意外事故 、火災(zāi)、雷擊等。
completion of moving services within fifteen days after the completion of the services prescribed herein, the carrier shall provide on-the-spot technical support for the shipper at the request of the latter. however, such technical assistance does not include the following problems. 1. those problems which are due to factors other than normal operation, like negligence, improper usage (plug-in or plug-out when the electricity is on), and 2. those which result from the force majeure, such as natural disasters, accidents, fires, and thunder strikes.
[搬遷時間 ] 搬遷時間由甲方提前五個工作日以書面形式通知乙方（傳真件有效）。 order for service the shipper has to give the order for service to the carrier at least five days prior to the day of move either by mail or by fax.

liability of the carrier in performing the services stated herein, the carrier shall take great care in order to prevent all the equipment of the shipper from any loss or damage. nevertheless, if any loss or damage should happen, both parties shall confirm the occurrence and the carrier shall pay to the shipper the actual cash value of the goods at the time of loss, allowing for depreciation.
[甲方責(zé)任] 甲方中途終止合同，應(yīng)向乙方償付不能實(shí)施服務(wù)部分５％的違約金。 liability of the shipper if the shipper should cancel part of the agreement before its fulfillment, the carrier will be entitled to five percent of the total amount of the unfinished agreement as the penalty for the breach of the agreement.

terms of payment 1. within three days after the agreement is executed, the shipper is to pay rmb3000 to the carrier as the deposit. 2. within five days after the shipper signs the detailed bill, the balance of the total cost connected with the agreement shall be paid back once for all by wire transfer or check. at the same time, the carrier has to provide the shipper with the invoice demanded by the latter. 3. the carrier＇s bank account is shown below. name of the carrier: name of the bank: account no.:
[不可抗力] 甲乙雙方的任何一方由于不可抗力的原因不能履行合同時，應(yīng)及時向?qū)Ψ酵▓蟛荒苈男谢虿荒芡耆男械睦碛?，在取得有關(guān)證明以后，允許延期履行、部分履行或者不履行合同，雙方對此互不提出賠償責(zé)任。
force majeure provided that either party is prevented form performing its obligations set out in the agreement by the force majeure, the other party shall be given a prompt notice of the situation together with a certified statement bearing the abovementioned effect. then, both parties have the options to delay its performance, to perform part of the agreement, or to cancel the remainder of the agreement. in such a case, neither party shall be deemed in default of this agreement.

exemptions 1. in performing the services stipulated in the agreement, the carrier shall be responsible for moving the shipper＇s hardware only, but shall not in any way be held liable for the safety or intactness of the database and software concerned. 2. also, the carrier shall uninstall and install the equipment (as defined below), but any problem arising thereof in connection with maintenace and repair of the equipment shall be handled by the shipper only.

甲乙雙方在搬遷完三個工作日內(nèi)：乙方根據(jù)《搬遷驗(yàn)機(jī)單》統(tǒng)計此次搬遷設(shè)備所產(chǎn)生的費(fèi)用，將《費(fèi)用清單》以書面形式交付甲方，甲方核實(shí)無誤后簽字確認(rèn)，此《費(fèi)用清單》原件甲乙雙方各持一份（《費(fèi)用清單》見附件b）。 注：因本合同所產(chǎn)生搬遷設(shè)備數(shù)量無法在搬遷前確認(rèn)及統(tǒng)計，所以具體費(fèi)用以《費(fèi)用清單》為準(zhǔn)。
within three days after the services agreed on are completed, the carrier is to add up the total cost of the services on the basis of the delivery receipt duly signed by the shipper and then present the detailed bill in writing to the shipper. after verifying the bill, the shipper shall sign on it. after that, each party shall be given one copy of the signed bill (see attachment b). note: since the workload involved with the agreement cannot be precisely estimated before the move, the actual expenses shall depend on nothing other than the final detailed bill.

preparations on the part of the shipper the shipper shall make the preparations set forth below: 1. reproduce all the digital files in adequate numbers of copies to make certain that the database is in secure condition. 2. select more than one transportation route and provide it for the carrier at least five days prior to the move. 3. inspect and measure the temperature, humidity, and power supply (with ground connection properly made) in the new terminal to ensure that they are up to the requirements. 4. secure all the entrance and exit permits and go through all the necessary procedures in advance to facilitate the move. 5. designate a coordinator to work with the counterpart appointed by the carrier. 6. provide the map and the layout of the new terminal for the carrier at least five days prior to the move. 7. allocate a temporary storage room suitable for the equipment in transit both at origin and at destination.

(b). disassembling hp server ＆ cabinet 1. both the shipper and the carrier shall inspect and test the server and its accessories simultaneously and both parties shall sign on the inventory list (see attachment a) after the satisfactory inspection. 2. the shipper is to terminate all the software employed on the server. 3. the employee of the carrier is to turn off the power supply. 4. each employee of the carrier shall put on an antistatic bracelet before work. 5. the carrier shall now start to attach a color-coded label to the cabinet and its corresponding server in an organized way. 6. the cables, disks, and power supply of each server are marked with identical color-coded labels respectively. 7. the cables of the server are taken away. 8. the server is separated from the cabinet and its disks are properly labeled if taken out. 9. the server is securely packed and its isolated disks are wrapped in shock-absorbing materials. 10. the server together with its accessories is loaded in the vehicle.

transporting the equipment 1. the transportation route designated by the shippers hall be followed to the letter. 2. for each vehicle engaged in the service, the carrier shall deploy two to four of its employees on it to ensure the safe and smooth transit; meanwhile, it is recommended that the shipper should dispatch one employee to work with those of the carrier for the same purpose. 3. on arriving at the destination, the equipment shall be moved into the new terminal. 4. all the equipment mentioned herein shall be handled in a most prudent way throughout the service.
[設(shè)備安裝調(diào)試] 1. 搬運(yùn)到位后首先清點(diǎn)設(shè)備； 2. 先將 ups安裝調(diào)試正常； 3. 逐一將機(jī)柜安裝到位； 4. 服務(wù)器，小型機(jī)，交換機(jī)等對應(yīng)上架； 5. 根據(jù)標(biāo)注對應(yīng)聯(lián)接各機(jī)柜內(nèi)部線路； 6. 乙方現(xiàn)場監(jiān)控人員再對所有設(shè)備進(jìn)行加電前最后一次全面檢查； 7. 甲乙雙方工作人員同時在場，分別對設(shè)備加電測試并簽驗(yàn)機(jī)單； 8. 將《搬遷驗(yàn)機(jī)單》復(fù)印件留給甲方，乙方保留原件。
installation and alignment of equipment 1. as soon as a device is moved to its appointed position, both parties shall make sure that there is no damage or loss caused to the device. 2. after that, the ups main frame shall be installed first and aligned to work well. 3. then the corresponding cabinet shall be put in its place one after the other. 4. the server, small machine, and switchboard shall be put in place successively. 5. in compliance with the standard directions, the inner wiring in each cabinet shall be correctly finished. 6. the on-the-spot director of the carrier shall make a thorough inspection of all the systems before sending the electric current through them. 7. the authorized representatives on behalf of the shipper and the carrier respectively shall be present on the site at the same time, take turns sending the electric current through all the systems to be assured of their proper functions, and then sign the inventory list. 8. the copy of the inventory list shall be given to the shipper while the original to the carrier.
[搬遷結(jié)束] 搬遷結(jié)束后十五個工作日內(nèi)，乙方有義務(wù)根據(jù)甲方要求到現(xiàn)場提供技術(shù)服務(wù)； 技術(shù)服務(wù)不包括： 1.因設(shè)備正常使用以外的原因，如疏忽、不當(dāng)使用（如帶電插拔等），引起的問題 ； 2.因人力不可抗因素而因素引起的問題如自然災(zāi)害，意外事故 、火災(zāi)、雷擊等。
completion of moving services within fifteen days after the completion of the services prescribed herein, the carrier shall provide on-the-spot technical support for the shipper at the request of the latter. however, such technical assistance does not include the following problems. 1. those problems which are due to factors other than normal operation, like negligence, improper usage (plug-in or plug-out when the electricity is on), and 2. those which result from the force majeure, such as natural disasters, accidents, fires, and thunder strikes.

liability of the carrier in performing the services stated herein, the carrier shall take great care in order to prevent all the equipment of the shipper from any loss or damage. nevertheless, if any loss or damage should happen, both parties shall confirm the occurrence and the carrier shall pay to the shipper the actual cash value of the goods at the time of loss, allowing for depreciation.
[甲方責(zé)任] 甲方中途終止合同，應(yīng)向乙方償付不能實(shí)施服務(wù)部分５％的違約金。 liability of the shipper if the shipper should cancel part of the agreement before its fulfillment, the carrier will be entitled to five percent of the total amount of the unfinished agreement as the penalty for the breach of the agreement.
